End-User License Agreement – Euristika Software

Effective date: July 25, 2026

1. Agreement and Scope

This End-User License Agreement (“Agreement”) is between Euristika Software LLC (“Euristika”) and the person or organization that accesses the License Manage portal or licenses Euristika software (“Customer”). By accessing or using the portal or software, Customer agrees to this Agreement. An executed order, proposal, invoice, or product-specific agreement controls if it expressly conflicts with this Agreement.

2. License Grant

Subject to timely payment and compliance with this Agreement, Euristika grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable license term to access and use the licensed software and portal solely for Customer’s internal business purposes and within the users, locations, modules, or other limits stated in the applicable order.

3. Restrictions

Customer may not copy, modify, translate, reverse engineer, decompile, disassemble, circumvent security or licensing controls, rent, resell, sublicense, distribute, or make the software available to third parties except as expressly authorized in writing. Customer may not use the software unlawfully or in a way that disrupts or compromises any system or data.

4. Accounts and Customer Data

Customer is responsible for authorized users, account credentials, the accuracy and legality of Customer data, and maintaining reasonable safeguards. Customer authorizes Euristika to process Customer data as necessary to provide, secure, support, and improve the licensed services, subject to Euristika’s Privacy Policy.

5. Fees, Term, and Renewal

License fees, billing frequency, taxes, term, and renewal conditions are stated in the applicable order or invoice. Unless otherwise stated there, licenses are annual and may renew upon payment of the applicable renewal fee. Euristika may suspend access for overdue amounts after reasonable notice.

6. Support, Maintenance, and Updates

Support, maintenance, hosting, implementation, training, conversion, customization, updates, and upgrades are provided only to the extent included in the applicable order or service plan. Euristika may modify or update the software to maintain security, compatibility, or functionality.

7. Ownership

Euristika and its licensors retain all right, title, and interest in the software, portal, documentation, technology, and related intellectual property. No ownership rights are transferred to Customer. Customer retains ownership of Customer data.

8. Third-Party Services

The software may connect to third-party services, including Wix and Intuit QuickBooks. Those services are governed by their own terms and privacy policies. Customer authorizes the requested connection and data exchange when enabling an integration. Euristika is not responsible for a third party’s service availability or changes.

9. Confidentiality and Privacy

Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform under this Agreement, except as required by law. Euristika’s Privacy Policy is available at https://www.euristika.com/privacy-policy.

10. Limited Warranty and Disclaimer

Euristika warrants that it will provide the licensed services in a professional manner. Except for any express warranty in an applicable order and to the maximum extent permitted by law, the software and services are provided “as is” and Euristika disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Euristika’s aggregate liability arising from the applicable licensed service will not exceed the fees Customer paid for that service during the twelve months preceding the event giving rise to the claim. These limits do not apply where prohibited by law.

12. Termination

Either party may terminate for a material breach that remains uncured after reasonable written notice. Upon expiration or termination, Customer must stop using the affected software and portal access. Provisions concerning ownership, confidentiality, payment obligations, disclaimers, liability, and governing law survive termination.

13. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties consent to the state and federal courts located in Florida for disputes not resolved informally, unless an applicable order states otherwise.

14. Changes and Contact
